What does it mean to dissolve an LLC or corporation?

Dissolution is the formal filing that ends your company's existence with the state. Until it's filed, the state treats the company as active, and annual report fees, franchise taxes and penalties can keep accruing.

What do you file for me?

We prepare and file your state's dissolution document: Articles of Dissolution, a Certificate of Cancellation or Termination, or the equivalent form your state uses. For foreign entities, we file the withdrawal in the state where you're registered.

How fast is my dissolution filed?

Within 1 business day of your order. Every order is treated as expedited, at no extra cost. After filing, approval time depends on the state.

How much does it cost?

$49 plus the state filing fee. You see the exact state fee before you pay. There are no expedite charges, subscriptions or upsells.

What is a foreign entity?

A company formed in one state and registered to do business in another. If you're closing operations in that second state, you file a withdrawal there. Check "This is a Foreign Entity" in the order form and choose the state of foreign qualification.

Do I need my EIN?

It's optional on our form, though some states ask for it. Closing your IRS account is a separate step you take after filing your final federal return.

Can I choose the effective date?

Many states allow a future effective date. Leave the field blank and the dissolution takes effect on the filing date.

Do I need to be current on state taxes and fees?

Some states require tax clearance or all annual reports to be filed before they accept a dissolution. If your state has a requirement that affects your filing, we'll contact you before we submit.

Who is allowed to sign?

An authorized member, manager, officer or director, or a receiver or trustee empowered to act for the company.

What will I receive?

An email when your filing is submitted, then the state-approved dissolution document as soon as the state returns it.

What if the state rejects the filing?

We correct it and resubmit at no charge. If we can't complete your filing, we refund our service fee in full.

Are you a law firm?

No. Terminate LLC is a document preparation and retrieval service. We don't provide legal or tax advice.
